1. Acceptance of Terms
By downloading, installing, or using the Eli mobile application (“Eli” or the “App”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the App.
These Terms constitute a legal agreement between you and Appsmiths LLC (“Appsmiths,” “we,” “us,” or “our”), a Mississippi limited liability company.
2. Description of Service
Eli is an AI-powered companion application designed to support personal reflection, self-discovery, and growth within a faith-informed framework. Eli uses artificial intelligence to engage in text and voice conversations, provide daily reflections, generate session notes and insights, and help users identify deeply held beliefs that influence their lives.
Eli is not a substitute for professional mental health treatment, medical advice, counseling, therapy, or any other professional service. Eli is a personal development tool, not a healthcare provider. If you are in crisis, please contact the 988 Suicide & Crisis Lifeline (call or text 988) or Crisis Text Line (text HOME to 741741). Eli includes built-in crisis detection that will surface these resources if needed, but Eli does not provide crisis intervention.
3. Eligibility
You must be at least 13 years old to use Eli. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian to use the App. By using Eli, you represent that you meet these requirements.
4. Account Registration
To use Eli, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Notify us immediately at admin@appsmiths.io if you believe your account has been compromised.
5. Subscriptions and Billing
Eli is offered as a paid subscription service. By subscribing, you agree to pay the applicable fees as presented at the time of purchase.
- Billing is handled through the Apple App Store or Google Play Store via RevenueCat and Superwall. Your subscription will auto-renew unless you cancel before the end of the current billing period.
- Free Trial. Eli may offer a free trial period. If you do not cancel before the trial ends, your subscription will begin and you will be charged the applicable fee.
- Cancellation. You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time.
- Price Changes. We may change subscription pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new price.
- Refunds. Refund requests are governed by the policies of the Apple App Store or Google Play Store, as applicable.
6. Acceptable Use
You agree not to use Eli to:
- Violate any applicable law or regulation.
- Harass, abuse, threaten, or impersonate any person.
- Attempt to extract, reverse-engineer, or replicate the AI models, prompts, or underlying technology.
- Circumvent any security features, rate limits, or access controls.
- Use the App for any commercial purpose without our written consent (e.g., reselling access, scraping content).
- Submit content that is unlawful, harmful, or infringes on the rights of others.
- Attempt to manipulate the AI to produce harmful, deceptive, or abusive content.
We reserve the right to suspend or terminate your account if you violate these Terms.
7. AI-Generated Content
Eli uses AI language models (Anthropic's Claude, accessed via AWS Bedrock) to generate responses, session notes, daily reflections, insights, and other content. Voice features use Deepgram for speech recognition and ElevenLabs for text-to-speech.
- No guarantees of accuracy.AI-generated content — including session notes, pattern observations, core sentence suggestions, and Scripture recommendations — may be incorrect, incomplete, or inappropriate. You should not rely on Eli's responses as factual, professional, or medical advice.
- Not a professional service.Eli does not provide therapy, counseling, medical diagnosis, legal advice, financial advice, or any other professional service. Eli is not a licensed therapist and does not diagnose, treat, or prescribe. If you are in crisis or need professional help, please contact a licensed professional, call emergency services, or contact the 988 Suicide & Crisis Lifeline.
- Your responsibility. You are solely responsible for how you interpret and act on any information provided by Eli.
- Personalized content. Eli generates personalized responses based on your conversation history and a memory profile maintained across sessions. While this personalization improves your experience, it does not constitute a professional assessment or diagnosis.
8. Your Content
You retain ownership of the content you submit to Eli (text, voice input, journal entries, etc.). By using the App, you grant Appsmiths a limited, non-exclusive license to process, store, and use your content solely for the purpose of providing and improving the Eli service.
We will not publish, share, or sell your content to third parties except as described in our Privacy Policy.
9. Intellectual Property
All rights, title, and interest in the App — including its design, branding, code, AI system prompts, the Core Operating Sentence methodology, and all generated content (excluding your user content) — are owned by Appsmiths LLC and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works based on Eli or any of its components without our prior written consent.
10. Disclaimer of Warranties
Eli is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Appsmiths disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that Eli will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant the accuracy, reliability, or completeness of any AI-generated content.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Appsmiths LLC, its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Eli, including but not limited to damages for loss of data, emotional distress, or reliance on AI-generated content.
Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Appsmiths LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.
13. Termination
We may suspend or terminate your access to Eli at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately.
You may terminate your account at any time by deleting it through the App settings or by contacting admin@appsmiths.io.
Sections 7 through 12 and 14 through 16 survive termination of these Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of Eli shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved by binding arbitration administered in Madison County, Mississippi, in accordance with the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
15. Changes to These Terms
We may revise these Terms at any time. If we make material changes, we will notify you through the App or by email. Your continued use of Eli after the revised Terms take effect constitutes your acceptance.
If you do not agree with the revised Terms, your sole remedy is to stop using the App and delete your account.
16. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Appsmiths regarding Eli.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
- Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment. You may not assign your rights under these Terms. We may assign our rights without restriction.
